New York, 1961. Lot of 10 $1000 I/U 5 1/2% Convertible Subordinated Debenture Coupon Bonds, Black print with blue border and Bald Eagle at top, VF to XF condition, S-CBNC. Barchris Construction Corp. was involved in the business of constructing bowling alleys. The company filed a registration statement with the SEC for the issuance of convertible subordinated debentures. The registration statement was later found to contain material misstatements and omissions regarding the company’s financial condition and business prospects. Barchris was then sued by investors and the court found that the defendants, including directors, officers, auditors, and underwriters, failed to exercise due diligence in ensuring the accuracy of the registration statement. Consequently, they were held liable for the misstatements and omissions.
